The following terms and conditions, GWI Privacy Policy and GWI Website Cookie Policy (together “Terms of Use”) govern how you may access, browse and use the GWI website, made up of www.gwi.com  and any other website GWI operates (the  “Website”), made available to you in the course of your business, trade or profession. 

These Terms of Use are entered into by and between you (“you” or “your”) and Trendstream Limited (“GWI”, “we” or “us”) 

YOU CONFIRM THAT YOU ACCEPT THESE TERMS OF USE AND THAT YOU AGREE TO COMPLY WITH THEM BY ACCESSING OR USING THE WEBSITE. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE WEBSITE. 

The Website does not include any of GWI’s products and services we market for subscription (GWI Services) which are subject to our legal terms available [here]. 

1. Changes to these Terms of Use

These Terms of Use, or any part may be modified by GWI, including the addition or removal of terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Please check this page from time to time to take notice of any changes we made, this will be indicated by the last updated date. Your use of the Website after such posting shall constitute acceptance by you of such modifications, additions or deletions.

GWI may change or discontinue any aspect, content, service or feature of the Website at any time, including, but not limited to, content, availability, and equipment needed for access or use. 

All text, graphics, photographs, trademarks, logos, icons, user interfaces, sounds, music, videos, artwork, software and computer code and any derivative of each of these (collectively, “Content”), including but not limited to the "look and feel", layout, design, structure, colour scheme, selection, combination and arrangement of the Content present on the Website is owned by or licensed to GWI. Such Content is protected by copyright, trademark, trade dress and various other intellectual property and unfair competition laws.

GWI’s name and all related names, logos, product and service names, designs and slogans are trademarks of GWI. You must not use such trademarks without GWI’s  prior written consent. All other names, logos, product and service names, designs and slogans on this Website are the trademarks of their respective owners. Any use of GWI’s trademarks without consent shall be a breach of these Terms of Use and may violate copyright, trademark and other laws.

You may display, copy and download Content from the Website solely for your personal and non­-commercial use provided that: (a) you do not remove any copyright or proprietary notice from the Content; and (b) no modifications are made to such Content. No right, title or interest in or to the Website or any Content is transferred to you, and all rights not expressly granted are reserved by GWI.

You are not permitted to use our Content for commercial purposes without our prior written consent. 

Any use of the Content not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark and other laws.

TO THE EXTENT PERMITTED BY LAW, GWI EXCLUDES ALL CONDITIONS, WARRANTIES, REPRESENTATIONS, CONDITIONS AND ALL OTHER TERMS OF ANY KIND WHATSOEVER IMPLIED BY STATUTE OR COMMON LAW ARE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EXCLUDED FROM THE AGREEMENT.

GWI will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: the use of, or inability to use, our site; or the use of or reliance on any content displayed on our site.

TO THE EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GWI BE LIABLE TO YOU FOR: LOSS OF PROFITS, SALES, BUSINESS, OR REVENUE; BUSINESS INTERRUPTION; LOSS OF ANTICIPATED SAVINGS; LOSS OF BUSINESS OPPORTUNITY, GOODWILL OR REPUTATION; OR ANY INDIRECT OR CONSEQUENTIAL LOSS OR DAMAGE.

We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Website or to your downloading of any content on it, or on any website linked to it.

You agree to defend, indemnity and hold harmless GWI, its affiliates, licensors and service providers and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your use of the Content.  GWI will be entitled, at our sole expense, to participate in the defence and settlement of the claim or action with counsel of our choosing.  You may not settle any claims without our prior written consent (which will not be unreasonably withheld).

GWI may terminate or suspend your access to the Website or Content in the event of any conduct by you which GWI, in its sole discretion, considers unacceptable or in the event of a breach of these Terms of Use. Clauses 2, 3 - 12 shall survive termination of these Terms of Use.

These terms of use, its subject matter and its formation, are governed by English law. You agree that the courts of England and Wales will have exclusive jurisdiction. 

No waiver by GWI of any term or condition set forth in these Terms of Use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of GWI to assert a right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

If any provision of these Terms of Use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.

The Terms of Use constitute the sole and entire agreement between you and GWI with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.
